These Terms of Service (“Terms”) govern your access to and use of Offset’s software, website, and related services (collectively, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Overview of the Services
Offset provides AI-powered workflow and spreadsheet automation tools. The Services may include:
On-premise or local desktop software
Private deployments in customer-controlled environments
Optional cloud-based APIs
Website and support services
The terms apply to all methods of accessing Offset.
Eligibility
You must be at least 18 years old and legally permitted to enter into a contract to use the Services.
Customer Data
Ownership
You retain all rights and ownership to the data you process using Offset (“Customer Data”). Offset does not claim ownership of Customer Data.
On-Premise and Local Deployments
For local/offline deployments:
Customer Data never leaves your environment.
Offset does not collect, store, or access Customer Data unless you explicitly send it for support.
No telemetry or hidden data transfer is performed
Cloud API Users
If you use Offset’s optional cloud API, you grant us a limited license to process Customer Data solely for the purpose of providing the Services.
Offset does not use Customer Data to train models unless you sign an explicit written agreement stating otherwise.
Your Responsibilities
You agree to:
Use the Services only for lawful purposes
Maintain responsibility for your infrastructure and security controls during on-prem deployments
Not use the Services to create training data for competing AI systems
Not access, reverse engineer, or attempt to extract source code or model weights (unless legally permitted)
Software Licenses
Offset grants you a non-exclusive, non-transferable, revocable license to use the software strictly in accordance with these Terms.
For enterprise or custom deployments, rights will be governed by your signed Agreement or DPA.
Restrictions
You may not:
Resell, sublicense, or distribute the software without permission
Interfere with or disrupt the Services
Use the Services for illegal or harmful purposes
Attempt to circumvent security or access non-public systems
Train competitive AI models using outputs from Offset
Offset may suspend access if you violate these terms.
Updates and Changes
We may release updates, patches, or improvements to the Services. Some updates may be required to continue using the Services.
We may modify these Terms at any time, and will update the “Effective Date” accordingly.
Fees and Billing
If you purchase paid Services:
Fees will be specified in your order form or plan
Payments are non-refundable unless required by law
Late payments may result in suspension of access
Outcome-based pricing, enterprise contracts, and custom terms are governed by the specific agreement executed with Offset.
Confidentiality
Each party agrees to protect confidential information of the other party using reasonable care.
Offset will not access or disclose Customer Data except:
When you explicitly provide it to us for support
To comply with law
As permitted in a written enterprise agreement
Intellectual Property
Offset owns all rights in:
Software
Models and fine-tuned weights
Documentation
Branding, trademarks, and content
These Terms do not transfer any ownership rights from Offset to you.
Warranty Disclaimer
The Services are provided “as is” and “as available”.
Offset disclaims all warranties, including:
Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or reliability of results
You assume all risks associated with using the Services.
Limitation of Liability
To the maximum extent permitted by law:
Offset will not be liable for:
Indirect, incidental, special, or consequential damages
Lost profits, lost revenue, lost data, or business interruption
Offset’s total liability under these Terms shall not exceed the amount you paid for the Services in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold Offset harmless from claims arising out of:
Your misuse of the Services
Your violation of laws or these Terms
Your processing of Customer Data using Offset
Termination
Either party may terminate these Terms for any reason with written notice.
Upon termination:
Your license to the software ends
You must cease use and delete copies of the software within your environment
Customer Data remains yours and is unaffected
If you terminate early, refunds are not provided unless required by law.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Any disputes will be resolved in state or federal courts located in Delaware.
Export Controls
You agree to comply with all applicable export laws and regulations related to your use of Offset.
